1. Introduction:
These Terms & Conditions govern all client engagements with Bottle & Bar Consulting. By engaging our services, you agree to these terms.
 

2. Services:
Bottle & Bar Consulting offers consulting services in hospitality operations, business management, brand & marketing development, and sales strategy to execution.
 

3. Engagement Agreement:

  • Each engagement will be outlined in a written agreement detailing the scope, fees, duration, and deliverables.

  • Any changes to the engagement must be agreed upon in writing by both parties.
     

4. Payment Terms:

  • Fees will be specified in the engagement agreement.

  • Invoices are issued monthly and payable within 7 days.

  • No late fees apply under these terms.
     

5. Confidentiality:

  • Both parties agree to keep all shared information confidential.

  • Confidentiality extends beyond the termination of the engagement.

  • Client information will not be disclosed without prior consent.
     

6. Intellectual Property:

  • All materials and strategies developed by Bottle & Bar Consulting are our intellectual property.

  • Clients receive a non-exclusive license to use the materials for their internal business purposes.

  • Clients may not share, sell, or distribute our materials without written permission.
     

7. Client Responsibilities:

  • Provide accurate and timely information.

  • Participate actively in the consulting process.

  • Implement agreed-upon strategies and recommendations.
     

8. Liability:

  • Nothing in these terms limits rights or remedies that cannot lawfully be excluded, including applicable Australian Consumer Law guarantees.

  • Subject to those rights and to the extent permitted by law, Bottle & Bar Consulting excludes liability for indirect, incidental or consequential damages and limits its total liability to fees paid for the engagement.
     

9. Duration and Termination:

  • Except for fixed-term engagements, either party may end an engagement on 7 days’ written notice.

  • The 12-Week Growth Partnership is a full 12-week commitment for $5,455 AUD total; no GST is charged. The weekly price is a breakdown, not a rolling subscription. The 7-day cancellation option does not apply. The written engagement agreement defines scope, start date, payment schedule and lawful early-ending arrangements. The programme does not automatically renew.

  • Early ending may be agreed in writing or occur where permitted by law. Completed work remains payable, subject to statutory remedies. Remaining programme fees are not automatically accelerated as a penalty; any agreed cancellation charge must reflect reasonable loss after costs saved and steps to reduce loss.
     

10. Rescheduling and Cancellations:

  • Sessions can be rescheduled with at least 48-hour notice.

  • Missed sessions without prior notice will not be refunded or rescheduled.
     

11. Dispute Resolution:

  • Any disputes will be resolved through mediation in Adelaide, South Australia.

  • If mediation fails, disputes will be settled through arbitration according to the rules of the Australian Commercial Disputes Centre.
     

12. Governing Law:

  • This agreement is governed by the laws of South Australia.

  • Any legal proceedings will be conducted in South Australia.
     

13. Force Majeure:

  • Bottle & Bar Consulting is not liable for any failure to perform due to circumstances beyond our control, including natural disasters, acts of war, or government regulations.

14. Amendments:

  • Changes to an existing engagement require both parties’ written agreement.

  • Updated terms apply only to new engagements unless both parties agree otherwise in writing.

  • Prices and scope for an agreed engagement will not change retrospectively without that agreement.
     

15. Entire Agreement:

  • These Terms & Conditions, along with the engagement agreement, constitute the entire agreement between the client and Bottle & Bar Consulting.

  • No other agreements, representations, or warranties are implied or stated unless explicitly included in this agreement.
     

By engaging with Bottle & Bar, you acknowledge and agree to these Terms & Conditions.
